1. 反垄断法迎来大修


Anti-Monopoly Law Faces An Overhaul


1月2日,国家市场监管总局发布《<反垄断法>修订草案(公开征求意见稿)》,意见截止日期为2020年1月31日。


On January 2, the State Administration for Market Regulation issued the Revisions of the Anti-Monopoly Law (Public Draft), and comments may be submitted until January 31, 2020.


《草案》主要包含以下变化:一、新增互联网领域反垄断条款。《草案》明确除现行《反垄断法》规定的普遍适用的依据外,认定互联网领域经营者具有市场支配地位还应当考虑网络效应、规模经济、锁定效应、掌握和处理相关数据的能力等因素。二、加大处罚力度。经营者违反本法规定,达成并实施垄断协议的,罚款上限提至五千万元,是之前的100倍。行业协会违反本法规定,组织经营者达成垄断协议的,处罚上限由五十万元增至五百万元。三、新增公平竞争审查有关条款。征求意见稿拟规定:国家建立和实施公平竞争审查制度,规范政府行政行为,防止出台排除、限制竞争的政策措施。


The Draft mainly includes the following changes:


First, anti-monopoly provisions on Internet field have been added. The Draft clarifies that in addition to the generally applicable basis stipulated in the current Anti-Monopoly Law, elements such as network effects, economies of scale, locking effects, and capacity of mastering and handling relevant data should be taken into account in the determination of whether an operator of Internet has a dominant market position.


Second, the punishment has been increased. For operators concluding and implementing a monopoly agreement in violation of this Law, the maximum penalty is raised to 50 million yuan, which is 100 times the previous level. For industry associations organizing operators to reach a monopoly agreement in violation of this Law, the maximum penalty is increased from 500,000 yuan to 5 million yuan.


Third, relevant clauses on fair competition review have been added. The Public Draft proposes that China establishes and implements a fair competition review system to regulate administrative acts by governments and prevent the unveiling of policies and measures that exclude or restrict competitions.

2. 最高法发布《善意文明执行意见》

SPC Issued Opinions on Implementing Law with Goodwill and Politeness


2020年1月2日上午,最高人民法院召开新闻发布会,发布《最高人民法院关于在执行工作中进一步强化善意文明执行理念的意见》。


On the morning of January 2, 2020, the Supreme People’s Court held a press conference to release the Opinions of the Supreme People's Court on Further Strengthening the Ideal of Implementing Law with Goodwill and Politeness.


《意见》分为6大部分,共计22条,主要包括以下三点内容:


一是严格禁止超标的查封和乱查封。冻结被执行人银行账户内存款的,应当明确具体数额,不得影响冻结之外资金的流转和账户的使用;对于体量较大的不动产,如果其价值明显超出债权额,就应当对相应价值部分进行查封。冻结上市公司股票的,应当以债权额为限计算出需要冻结的股票数量。在计算时,每股股票的价值以冻结前一交易日收盘价为基准,一般在不超过20%的幅度内确定。


With a total of 22 articles in six parts, the Opinions mainly include the following three points.


First, strict prohibition of excessive and unauthorized sealing up. In the case of freezing bank savings of the party against whom enforcement is sought, the specific amount shall be specified and the transfer of savings that are outside the frozen assets and the use of the savings account shall not be affected. For a high value real estate, if its value clearly exceeds the number of claims, only the corresponding value portion can be frozen. In the case of freezing stocks of listed companies, the number of shares shall be calculated according to the number of claims, which means that the value of blocked stocks shall not exceed the number of claims. When calculating the number of shares, the value of each stock is based on the closing price of the trading day prior to freezing, generally within a range of no more than 20%.


二是在财产变价环节确保双方当事人利益最大化。如直接变卖的变价款足以清偿执行债务且不损害第三人利益的,即使执行债权人不同意,也可以不经拍卖直接变卖;如被执行人认为法院的评估价过低,通过拍卖方式可能会损害他的利益,而申请以不低于评估价的价格自行变卖财产的,法院经过审查也可以准许。


Second, guarantee of maximizing the interests of both parties through the process of realization of the assets. Where the amount of direct sale is sufficient to pay off the debt and would not harm the interests of a third party, even if the execution creditor does not agree, the property may be sold directly without the process of auction. Where the party against whom enforcement is sought is of the opinion that the appraisal by the court is too low and that their interests may be damaged through auction, they may sell property on their own at a price no lower than the appraisal amount, subject to the examination and approval of the court.


三是严格适用失信名单和限制消费措施。还规定各地法院可结合案件实际情况,给予被执行人一至三个月的宽限期;被限制消费的个人因本人或近亲属罹患重大疾病,或近亲属去世等情形,法院应暂时解除对其乘坐飞机、高铁等限制。


Third, strict application of a dishonesty list and consumption restriction measures. The Opinions also stipulate that local courts may grant a grace period of one to three months to the party against whom enforcement is sought in accordance with the facts of the case. If an individual whose consumption is restricted suffers from a major illness of his own or a close relative or a death of a close relative, the court shall temporarily lift the restriction on their travel by air or high-speed railway.


3. 《关于深入开展价格争议纠纷调解工作的意见》发布

Opinions Issued on Further Developing the Mediation of Price Disputes

近日,最高人民法院、国家发展改革委、司法部联合印发《关于深入开展价格争议纠纷调解工作的意见》。

Recently, the Supreme People’s Court, the National Development and Reform Commission and the Ministry of Justice jointly issued Opinions on Further Developing the Mediation of Price Disputes.

《意见》指出,价格争议纠纷调解工作适用范围为平等民事主体之间因商品或者服务价格产生的纠纷,主要涉及交通事故赔偿、消费者权益保障、医疗服务、物业服务、旅游餐饮服务、工程建设造价、农业生产资料、保险理赔等民生领域。

According to the Opinions, the mediation of price disputes is applied to the disputes between equal civil subjects that arise from the price of goods or services, mainly involving compensation for traffic accidents, protection of consumers' rights and interests, medical services, property services, tourism and catering services, construction cost, agricultural production materials, insurance claims and other fields of livelihood.

《意见》明确,发生价格争议纠纷的,可以通过价格主管部门所属的价格认定机构、相关人民调解组织、依法设立的其他调解组织三种方式开展调解。

The Opinions provide three options for mediation following the occurrence of price disputes, namely, the identification institutions of the competent price departments, relevant people's mediation organizations and other mediation organizations established according to laws.

此外,《意见》强调,价格争议纠纷调解机构或组织主持调解达成的调解协议,经当事人签字或盖章后,具有民事合同性质,当事人应当按照约定履行。双方当事人认为有必要申请司法确认的,可以依法向人民法院提出申请。经人民法院确认调解协议有效,一方当事人拒绝履行或者未全部履行的,对方当事人可以向人民法院申请强制执行。

As well as this, the Opinions stress that a mediation agreement conducted by price dispute mediation institutions or organizations should have the nature of a civil contract after being signed or sealed by the parties, therefore, they should perform in accordance with the agreement. Where the both parties consider it necessary to apply for a judicial confirmation, they may apply to the people's court according to laws. Once the mediation agreement has been confirmed as valid, if one party refuses to perform or fails to perform it in full, the other party may apply to the people's court for enforcement.

4. 中国银保监会发布修订《中国银保监会外资银行行政许可事项实施办法》


Implementation Measures of the China Banking and Insurance Regulatory Commission for Administrative Licensing Items concerning Foreign-Funded Banks Revised and Issued by CBIRC

中国银保监会近日修订发布了《中国银保监会外资银行行政许可事项实施办法》。

Recently, the China Banking and Insurance Regulatory Commission revised and issued the Implementation Measures of the China Banking and Insurance Regulatory Commission for the Administrative Licensing Items concerning Foreign-Funded Banks.

《办法》修订的主要内容包括:一是持续推进银行业对外开放措施依法落地。《办法》与《外资银行管理条例》衔接,允许外国银行在中国境内同时设立分行和外资法人银行、取消外国银行来华设立营业性机构需满足的总资产要求、放宽中外合资银行中方主要股东选择范围。二是持续推进简政放权、放管结合、优化营商环境《办法》将外资银行部分董事、高管人员任职资格核准和分行开业审批权限进一步下放或调整;取消管理型支行行长任职资格核准审批;缩短两级审批事项的审批时限;简化外资银行赴境外发债的部分申请材料要求。三是进一步强化审慎监管。按照中外一致原则,《办法》在相关许可章节中,相应增加了股权管理及反洗钱和反恐怖融资审查的要求,进一步强化了审慎监管,并对股东变更的内涵进行修订。四是明确“国务院在自由贸易试验区等特定区域对行政许可事项另有规定的,应依照其规定”,为在上述区域实施进一步简政放权措施预留政策空间。

The revised contents of the Measures are as follows:

First, measures for opening the banking industry should be continuously promoted in accordance with the law.The Measures should be linked with the Regulation on the Administration of Foreign-Funded Banks, allowing foreign banks to set up branches and foreign-funded corporate banks simultaneously in China, eliminating the total assets requirements for foreign banks to set up business institutions in China, and widening the scope for choice of major Chinese shareholders of Sino-foreign joint venture banks.

Second, streamlining of administration, delegation of more powers, improvement of regulation and optimization of business environment should be promoted.The Measures should further decentralize or adjust the authority to approve the qualifications of some directors and senior executives of foreign banks and the opening of branches. The examination and approval of the qualifications of the managerial sub-branch president should be cancelled. The approval time limit for dual-level approval matters should be shortened. Some application materials for foreign-funded banks to issue bonds abroad should be simplified.

Third, supervision should be further strengthened. In accordance with the principle of consistency between China and foreign countries, the Measures should add the requirements for equity management and review of anti-money laundering and anti-terrorist financing in relevant licensing chapters, further strengthen supervision, and revise the connotation of shareholder changes.

Fourth, the provisions clarified that “such other provisions by the State Council on administrative licensing matters in specific areas such as the free trade pilot zone should prevail”, which reserves policy space for the further implementation of the measures for streamlining administration and delegation of more powers in the above-mentioned areas.
